1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the RecordSpaces website, apps, and related services (collectively, the "Services"). By creating an account or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must stop using the Services.

2. Eligibility & Account

• You must be at least 18 years old and legally capable of entering into binding contracts.
• You are responsible for maintaining accurate account information and safeguarding your login credentials.
• You must notify us immediately at support@recordspaces.com if you suspect unauthorised access to your account.

3. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. In particular, you must not:

• Attempt to gain unauthorised access to other users’ data or our infrastructure.
• Interfere with or disrupt the integrity, availability, or performance of the Services.
• Use the Services to record or distribute content in violation of applicable laws, platform policies, or the rights of third parties.
• Reverse engineer, decompile, or disassemble any part of the Services, except where permitted by law.

4. Recordings & User Content

• You retain ownership of audio recordings, metadata, and other content you upload or create through the Services ("User Content").
• You grant RecordSpaces a worldwide, non-exclusive licence to host, store, and process User Content solely to operate and improve the Services.
• You are solely responsible for ensuring that recording, storing, and sharing Spaces complies with applicable laws (including consent and privacy requirements) and the policies of X Corp. or other platforms.
• We may remove or disable access to User Content that violates these Terms or applicable law.

5. Subscriptions & Payments

• Paid plans and usage fees are billed by our payment partner, Stripe. By subscribing, you authorise us to charge the payment method on file.
• Fees are non-refundable except as required by law or expressly stated during signup. Some plans may offer a cooling-off period; details are provided at purchase.
• We may change prices or introduce new charges with at least 30 days’ notice. Continued use after the effective date constitutes acceptance of the new pricing.

6. Suspension & Termination

• You may cancel your subscription or close your account at any time in the account settings or by contacting us.
• We may suspend or terminate access if you breach these Terms, fail to pay fees when due, or if we reasonably believe such action is necessary to protect RecordSpaces, our users, or third parties.
• Upon termination, we may delete User Content from our systems, subject to any legal retention obligations.

7. Intellectual Property

RecordSpaces owns all rights, title, and interest in the Services, including software, designs, and branding. Except for the licences granted to you under these Terms, nothing transfers any RecordSpaces IP rights to you. You may not use our trademarks or branding without prior written consent.

8. Third-Party Services

The Services may rely on or link to third-party sites, APIs, or integrations. RecordSpaces is not responsible for the availability or accuracy of third-party services and does not endorse or assume liability for them. Your use of third-party services is at your own risk and subject to their terms.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. RecordSpaces disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or meet your specific requirements.

10. Limitation of Liability

To the maximum extent permitted by law, RecordSpaces, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our total liability for any claim arising under these Terms shall not exceed the amount you paid to RecordSpaces in the six months preceding the event giving rise to the claim.

11. Indemnity

You agree to indemnify, defend, and hold harmless RecordSpaces and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services, your User Content, or any breach of these Terms.

12. Governing Law

These Terms and any disputes arising out of or relating to them are governed by the laws of England and Wales, without regard to conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction, and you agree to submit to their personal jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services, and the "Last updated" date above will reflect the latest revision. Continued use after the effective date constitutes acceptance of the revised Terms.
